General Terms and Conditions

1. Definitions

In these general terms and conditions, the following terms are used in the following senses, unless expressly stated otherwise:

  1. Van Bergen 1795: Van Bergen 1795 B.V., established in Dordrecht, registered with the Chamber of Commerce under number 98315226 and VAT number NL868442501B01, and the user of these general terms and conditions.
  2. Website: The website of Van Bergen 1795, accessible via vanbergen1795.com.
  3. Client: The natural or legal person who enters into an agreement with Van Bergen 1795.
  4. Agreement: Any agreement, assignment, or contract between Van Bergen 1795 and the client.
  5. Timepiece: Any wristwatch, limited edition piece, or Pièce Unique produced or distributed by Van Bergen 1795.
  6. Reservation: A formal expression of intent by the client to acquire a specific numbered piece, confirmed in writing by Van Bergen 1795 and accompanied by payment of a deposit.

2. Applicability

  1. These terms and conditions apply to every offer, quotation, reservation, and agreement between Van Bergen 1795 and the client.
  2. The text of these general terms and conditions shall be made available to the client prior to the conclusion of the contract.
  3. Any general terms and conditions of the client are expressly rejected, unless otherwise agreed in writing.

3. Offer and Conclusion of Contract

  1. Every offer and quotation from Van Bergen 1795 is without obligation, unless a period for acceptance is stated in the quotation.
  2. The agreement is concluded at the time of acceptance by the client of the offer or quotation, whether or not after contact via the website.
  3. Van Bergen 1795 is not bound by obvious errors or mistakes in the offer, such as typographical errors in prices on the website or in quotations.
  4. Agreements or promises that deviate from the quotation or these general terms and conditions are only binding after they have been confirmed in writing by Van Bergen 1795.

4. Reservations and Deposits

  1. A reservation for a numbered timepiece, limited edition, or Pièce Unique must be confirmed in writing by Van Bergen 1795 and is subject to payment of a deposit, the amount of which will be stated at the time of the reservation.
  2. Deposits paid to Van Bergen 1795 are non-refundable. In the event that the client cancels a reservation for any reason, the deposit shall be retained by Van Bergen 1795 as compensation for the allocation of the reserved piece and any associated production, personalisation, or administrative costs.
  3. The deposit will be offset against the total purchase price upon completion of the sale. Title to the timepiece does not transfer to the client until full payment of the purchase price has been received.
  4. Where a timepiece has been personalised, engraved, or otherwise customised at the client's request, the piece cannot be returned or exchanged under any circumstances.
  5. Van Bergen 1795 reserves the right to cancel a reservation in exceptional circumstances, in which case any deposit paid will be refunded in full. This is the sole remedy available to the client in such an event.

5. Prices and Payment

  1. All prices quoted are in Euros and exclusive of the statutory VAT rate, unless specifically stated otherwise for consumers.
  2. Payment must be made within 14 days of the invoice date, unless a different payment term has been agreed in writing. Payment is made by bank transfer to the bank account indicated by Van Bergen 1795.
  3. In the event of late payment, the client is in default by operation of law. In that case, the client owes the statutory (commercial) interest on the outstanding amount, as well as any extrajudicial collection costs incurred.
  4. Title to any timepiece remains with Van Bergen 1795 until full payment of the agreed purchase price has been received.

6. Delivery and Execution

  1. Van Bergen 1795 will exercise the greatest possible care in the execution of the agreement and the delivery of products or services.
  2. Specified delivery times are always indicative and never constitute strict deadlines, unless expressly agreed otherwise in writing.
  3. The risk of damage or loss of goods passes to the client at the time they are made available to the client or a third party designated by the client.
  4. The client is solely responsible for compliance with all applicable import regulations, customs formalities, and payment of any duties or taxes applicable in their country of residence or the country of delivery. Van Bergen 1795 accepts no liability for delays, costs, or complications arising from customs or import procedures.

7. Authentication and Documentation

  1. Each Van Bergen 1795 timepiece is delivered with a certificate of authenticity, individually numbered and signed by the President of Van Bergen 1795, together with full provenance documentation.
  2. The client is advised to retain all documentation supplied with the timepiece. Van Bergen 1795 accepts no responsibility for the consequences of loss of provenance documentation after delivery.

8. Warranty and Complaints

  1. Van Bergen 1795 guarantees that the products and services provided comply with the agreement and the specifications stated in the offer.
  2. Complaints about the products or services provided must be submitted to Van Bergen 1795 within a reasonable time after the client has discovered the defect, fully and clearly described, via the contact details on the website.
  3. Complaints submitted shall be acknowledged and answered within 14 days of receipt.

9. Intellectual Property

  1. The purchase of a Van Bergen 1795 timepiece does not transfer to the client any rights in the Van Bergen 1795 name, heraldic device, trade marks, designs, or any other intellectual property belonging to Van Bergen 1795 B.V.
  2. The client may not reproduce, copy, or use any Van Bergen 1795 intellectual property for commercial purposes without prior written consent.

10. Force Majeure

  1. Van Bergen 1795 is not liable for any failure or delay in performance arising from circumstances beyond its reasonable control, including but not limited to natural disasters, war, government measures, disruptions to supply chains, strikes, or failure of third-party suppliers.
  2. In the event of force majeure lasting more than three months, both parties have the right to dissolve the agreement in writing. In such cases, Van Bergen 1795 will refund any amounts paid for goods not yet delivered, without further liability.

11. Liability

  1. The liability of Van Bergen 1795 for indirect damage, including consequential damage, loss of profit, and lost savings, is excluded.
  2. In the event of direct damage, the liability of Van Bergen 1795 is limited to a maximum of the invoice amount of the product or service supplied, or the amount paid out by the liability insurer in the case in question.

12. Privacy and Personal Data

  1. Van Bergen 1795 processes personal data of the client in the context of the execution of the agreement and contact via the website.

13. Applicable Law and Jurisdiction

  1. All agreements between Van Bergen 1795 and the client are governed by Dutch law.
  2. Consumers residing in the European Union are not deprived of the protection afforded to them by the mandatory rules of the country in which they have their habitual residence.
  3. All disputes with business clients are submitted exclusively to the competent court in the district where Van Bergen 1795 is located.
  4. Disputes with consumers may be submitted to the competent court in the district in which Van Bergen 1795 has its registered office, or to the competent court in the consumer's place of residence.
